1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Reaudit, Inc. ("Reaudit," "we," "us," or "our") governing your access to and use of the Reaudit platform, including our website (reaudit.io), applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using the Services, you represent and warrant that you meet these requirements.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Services Description

Reaudit provides an AI search visibility platform that enables you to:

• Monitor your brand visibility across AI search platforms (ChatGPT, Claude, Perplexity, Gemini, etc.)
• Track rankings, citations, and mentions in AI-generated responses
• Optimize content for AI discoverability
• Generate AI-ready content and schema markup
• Analyze competitor AI visibility
• Access analytics, reports, and insights
• Integrate with WordPress, Webflow, Wix, and other platforms

5. Subscription and Payment

5.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Current pricing is available on our pricing page.

5.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is due at the start of each billing period
• We accept major credit cards and other payment methods processed securely through Stripe
• We do not store your credit card details on our servers
• All fees are non-refundable (see Section 7: Refund Policy)

5.3 Automatic Renewal

Your subscription will automatically renew unless you cancel before the renewal date. You can cancel anytime through your account settings. Cancellation takes effect at the end of your current billing period.

5.4 Price Changes

We may change our prices with 30 days' notice. Price changes will apply to subsequent billing periods.

5.5 Taxes

Fees are exclusive of applicable taxes. You are responsible for all taxes associated with your purchase.

6. Digital Service Delivery & Acknowledgment

BY COMPLETING YOUR PURCHASE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE TO THE FOLLOWING:

6.1 Instant Digital Delivery

Reaudit is a digital service delivered instantly and automatically upon successful payment. You will receive immediate access to all features included in your subscription plan.

6.2 Waiver of Withdrawal Right

In accordance with EU Consumer Rights Directive (2011/83/EU) Article 16(m), you expressly consent to immediate delivery of digital content and acknowledge that you lose your right of withdrawal once you access the Services.

6.3 Confirmation of Access

Upon purchase, you will receive email confirmation with access details. Your first login to the service constitutes acknowledgment of delivery and receipt of the digital services.

6.4 Activity Logging

We maintain comprehensive logs of all account activity including login times, feature usage, content generations, and API calls. These logs serve as proof of delivery and usage of our services.

7. Refund Policy

All sales are final. Due to the nature of digital services, we do not offer refunds once the service has been delivered.

7.1 Digital Service Delivery

This is a digital service delivered instantly upon purchase. You receive immediate access to all features included in your subscription plan. In accordance with EU Consumer Rights Directive Article 16(m), you waive your right of withdrawal by consenting to immediate delivery at checkout.

7.2 By Completing Your Purchase, You Acknowledge That:

• This is a final sale with no refunds available
• You consent to immediate delivery of digital content
• You waive any right of withdrawal or cooling-off period
• You have reviewed the product features and pricing before purchasing

7.3 Payment Disputes

If you have concerns about your purchase, please contact us at [email protected] before contacting your bank. We're happy to help resolve any issues. Filing a chargeback for a legitimately delivered digital service may result in:

• Immediate termination of your account and access to the Services
• Submission of delivery evidence to your payment provider (access logs, usage data, terms acceptance records)
• Recovery of chargeback fees and administrative costs

7.4 Technical Issues

8. Fraud Prevention & Account Security

8.1 Fraud Monitoring

We employ fraud detection systems and reserve the right to:

• Verify your identity and payment information before or after purchase
• Delay or cancel orders that appear fraudulent
• Limit or restrict account access if suspicious activity is detected
• Report suspected fraud to relevant authorities and payment processors

8.2 Data We Collect for Fraud Prevention

• IP addresses and geolocation data at time of purchase and each login
• Device fingerprints and browser information
• Payment method details and billing address verification
• Complete activity logs including all feature usage and API calls
• Timestamps of all account actions

8.3 Evidence Retention

We retain all transaction records, access logs, and usage data for a minimum of 7 years. This data may be used as evidence in chargeback disputes, fraud investigations, or legal proceedings.

9. Acceptable Use

You agree not to:

• Violate any laws, regulations, or third-party rights
• Use the Services for fraudulent or malicious purposes
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Reverse engineer, decompile, or disassemble our software
• Use automated tools to access the Services (except our API)
• Share your account credentials with others
• Resell or redistribute the Services without authorization
• Upload malware, viruses, or harmful code
• Spam, harass, or abuse other users
• Scrape or collect data without permission
• Impersonate others or misrepresent your affiliation

10. Intellectual Property

10.1 Our Rights

The Services, including all content, features, functionality, software, and technology, are owned by Reaudit and protected by copyright, trademark, patent, and other intellectual property laws.

10.2 Your Content

You retain ownership of content you submit to the Services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely to provide the Services.

10.3 Feedback

Any feedback, suggestions, or ideas you provide are non-confidential, and we may use them without obligation to you.

10.4 License Termination

Your license to use the Services is automatically and immediately terminated if you:

• File a chargeback or payment dispute for a legitimately delivered service
• Violate any of these Terms of Service
• Engage in any unauthorized use of our intellectual property
• Share your account with others or allow unauthorized access

Upon license termination, you must immediately cease all use of the Services.

11. Data and Privacy

11.1 Data Collection

We collect and process data as described in our Privacy Policy, including:

• Account and profile information
• Usage data and analytics
• Content you submit for analysis
• AI search platform data (rankings, citations, mentions)
• Website and integration data
• Performance and diagnostic data

11.2 Data Usage for Product Improvement

By using our Services, you acknowledge and agree that we may use anonymized and aggregated data to improve our products and services. This includes:

• Analyzing anonymized usage patterns to improve user experience and interface design
• Improving our internal analytics algorithms using aggregated, non-identifiable data
• Developing new features based on aggregated user behavior trends
• Optimizing performance and fixing issues
• Conducting research using anonymized data to enhance service quality

Important Clarification: We do NOT share your personal data with third-party AI companies (such as OpenAI, Anthropic, Google, or others) for training their AI models. Your data remains within Reaudit's systems and is only used to provide and improve our services to you.

When we interact with AI platforms to monitor brand visibility, we only send generic search queries (not your personal data) to check how brands appear in AI-generated responses. Your data is handled in accordance with our Privacy Policy and applicable data protection laws.

11.3 Data Security

We implement industry-standard security measures, but no system is completely secure. You use the Services at your own risk.

11.4 Data Retention

We retain your data as described in our Privacy Policy. Upon account deletion, we will delete or anonymize your data within 90 days, except as required by law.

12. Third-Party Services

Our Services may integrate with third-party platforms (AI search engines, CMS platforms, analytics tools). We are not responsible for third-party services, and your use of them is subject to their terms and policies.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or completeness of data
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties regarding AI search rankings or visibility improvements

We do not guarantee specific results or outcomes from using our Services. AI search platforms are third-party services beyond our control.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, LOST PROFITS, OR LOST OPPORTUNITIES
• WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS OR FAILURES

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Reaudit and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of Greece, without regard to conflict of law principles.

16.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with Greek arbitration law, except for claims that may be brought in small claims court.

16.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or representative proceedings.

17. Modifications

We may modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on our website
• Updating the "Last Updated" date
• Sending email notification
• Requiring acceptance for significant changes

Continued use of the Services after changes constitutes acceptance of the modified Terms.

18. Termination

18.1 By You

You may cancel your subscription anytime through your account settings. Cancellation takes effect at the end of your current billing period.

18.2 By Us

We may suspend or terminate your access immediately if you violate these Terms or for any other reason at our discretion.

18.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Provisions that should survive termination will remain in effect.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reaudit.

19.2 Severability

If any provision is found invalid, the remaining provisions remain in full effect.

19.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

19.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

19.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
